Welcome to SparkMySport. By registering for an account, you ("User") agree to be bound by these Terms and Conditions ("Terms"). These Terms form a legally binding agreement between you and SparkMySport, Inc., a California corporation ("SparkMySport," "we," "us," or "our"). If you do not agree to these Terms, you may not access or use the platform.

SparkMySport is a player intelligence platform enabling athletes, parents, coaches, and event hosts to record games and practices, upload highlights, create and manage player statistics, and maintain athlete profiles. Users may enter player information including age, school affiliation, social media handles, phone numbers, and email addresses. The platform serves athletes between the ages of 8 and 20.

SparkMySport supports the following account types:

• Player Athletes aged 8–20. Users under 13 require verified parental or guardian consent prior to account activation.
• Parent Parents or legal guardians managing accounts on behalf of minor athletes. Parents must provide accurate contact information and are responsible for supervising their child's platform activity.
• Coach Verified coaching staff managing player development and statistics. Coach accounts are subject to additional identity verification before gaining access to minor profiles.
• Event Host Organizations or individuals creating and managing competitive events on the platform. Event Hosts are bound by the additional data rights provisions in Section 6.

You must provide accurate, truthful, and current information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

SparkMySport and its licensors retain all rights, title, and interest in and to the platform software, user interface, branding, algorithms, proprietary technology, and all associated intellectual property. Nothing in these Terms transfers any ownership of the platform or its underlying technology to you.

You may not reproduce, modify, distribute, reverse-engineer, or create derivative works of any part of the platform without the express prior written consent of SparkMySport. Unauthorized use may subject you to civil and criminal liability.

You expressly acknowledge and agree that SparkMySport owns all right, title, and interest in and to all Data collected, generated, or derived through the platform.

For purposes of these Terms, "Data" means all statistics, game data, event data, player data, personal data, metadata, and any other information collected, submitted, recorded, processed, or stored through the SparkMySport platform, together with all compilations, databases, reports, metrics, visualizations, analytics, rankings, insights, machine-learning outputs, artificial-intelligence outputs, derivative works, and any other materials generated from or based upon such information.

By submitting content to the platform, you grant SparkMySport a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, aggregate, and distribute such content for platform operations, product improvement, analytics, and commercialization, subject to the privacy and consent obligations set forth in our Privacy Policy.

You agree not to use SparkMySport in any manner that violates applicable law or these Terms. Prohibited conduct includes, but is not limited to:

• Uploading false, misleading, or fraudulent player information, statistics, or highlights.
• Attempting to access another user's account without authorization.
• Using the platform to harass, threaten, stalk, or harm any individual, particularly minors.
• Reverse-engineering, scraping, crawling, or programmatically extracting data from the platform without written authorization.
• Sharing login credentials or permitting unauthorized access to your account.
• Introducing malicious code, viruses, or any software designed to disrupt or damage platform functionality.
• Circumventing, disabling, or interfering with security features of the platform.

SparkMySport reserves the right to investigate violations and to cooperate with law enforcement authorities regarding conduct that we reasonably believe violates the law or poses a risk to users, particularly minors.

The following provisions apply specifically to users registering as or operating in the capacity of an Event Host. These clauses govern the data relationship between SparkMySport and Event Hosts and form a binding part of these Terms.

You represent and warrant that any content you upload to SparkMySport — including video highlights, photographs, statistics, personal information, or any other materials — does not infringe any third-party rights and that you have obtained all necessary consents, licenses, and permissions.

For content featuring individuals other than yourself, including other athletes or spectators, you represent that you have obtained their informed consent (or, in the case of minors, the consent of their parent or legal guardian) prior to uploading. For content featuring minors other than your own child, you must have verified written parental consent from each child's parent or legal guardian before uploading.

SparkMySport reserves the right to remove any content that violates these Terms, applicable law, or our community standards, without prior notice and at our sole discretion.

SparkMySport reserves the right to suspend, restrict, or permanently terminate your account at any time, with or without notice, for any of the following reasons:

• Violation of any provision of these Terms
• Conduct we reasonably believe is harmful to other users, particularly minors
• Fraudulent, abusive, or illegal activity
• Failure to pay applicable fees (if any)
• At our sole discretion for any business reason

Upon termination, your right to access and use the platform ceases immediately. SparkMySport may, however, retain your Data as permitted by applicable law, these Terms, and our Privacy Policy. Provisions of these Terms that by their nature should survive termination — including data ownership, limitation of liability, and dispute resolution — shall continue in full force and effect.

IN NO EVENT SHALL SPARKMYSPORT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF SPARKMYSPORT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. If these laws apply to you, some of the above limitations may not apply, and you may have additional rights.

These Terms and any dispute arising out of or related to them or your use of SparkMySport shall be governed exclusively by the laws of the State of California, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform shall be resolved by binding arbitration administered by JAMS in Alameda County, California, under its Streamlined Arbitration Rules. The arbitrator's decision shall be final and binding.

Class Action Waiver: YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST SPARKMYSPORT. All disputes must be brought in an individual capacity.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the resolution of an arbitration proceeding.

SparkMySport reserves the right to update or modify these Terms at any time. We will provide notice of material changes via email to your registered address and/or via in-platform notification at least fourteen (14) days before the changes take effect.

Your continued use of SparkMySport after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cease using the platform and may request account deletion by contacting us at support@sparkmysport.com.
